RiskSIG

Pursuant to the provisions of the Commonwealth of Pennsylvania Non-Profit Business Corporation Act, the undersigned hereby adopts the following Articles of Incorporation:

Article I - Name

The name of the corporation is the Project Management Institute, Risk Management Specific Interest Group, Inc., an affiliated Component of the Project Management Institute, Incorporated, based in Newtown Square, Pennsylvania USA.

Article II - Duration

The duration of the corporation is perpetual.

Article III - Purpose(s)

The corporation has been organized for the following purpose(s):

A. To advance the general and specific purposes of the Project Management Institute, Risk Management Specific Interest Group, Inc.

B. Establish and promote the principles of Risk Management as the foundation for effective Project Management.

C. Increase the knowledge of Risk Management and promote Risk Management tools, processes and techniques through communication, education and networking.

D. Involve the RiskSIG membership in the improvement of the tenets for Risk Management.

E. Promote the exchange of current project management information on tools and techniques among the RiskSIG members.

F. To provide a forum for discussion and examination of problems, solutions, applications and ideas related to the management of projects.

G. To disseminate information regarding developments in risk management.

Article IV - Membership

The membership shall be open to any eligible person interested in furthering the purposes of the organization without regard to race, creed, color, age, sex, marital status, national origin, religion, or physical or mental disability. Members shall also be members of the Project Management Institute, Incorporated.

Article V - Registered Office/Agent

The location and street address of the initial registered office is and the name of its initial registered agent at such address is: Corporation Service Company, 2704 Commerce Drive Suite B, Harrisburg, PA 17110 County of Dauphine

Article VI - Officers

The number of Officers is three (3). The Officers’ names and addresses are contained on Appendix A of these Articles.

Article VII - Incorporators

The names and addresses of the initial incorporators are contained on Appendix A of these Articles. The corporation shall be governed by bylaws, which were approved by the membership by voice vote. The bylaws may be amended or repealed at the annual membership meeting or by mail ballot of the voting membership. The corporation shall have all the powers and be subject to all restrictions, which pertain by law to all membership corporations.

IN WITNESS THEREOF, the incorporators have executed these Articles of Incorporation on this, the 24th day of January 2001.
